⚠️ IMPORTANT LEGAL NOTICE: These Terms constitute a legally binding contract. By using the Zonefares.com platform, you agree to all provisions including the no-refund policy, mandatory arbitration clause, and liability limitations. Please read carefully before proceeding.

Welcome to Zonefares.com — Canada's leading B2B travel technology platform. These Terms and Conditions ("Terms") govern all access to and use of the Zonefares.com platform, APIs, website, and associated services by registered travel agencies, suppliers, and authorized business users. Access is restricted to verified business entities only.

1. Acceptance of Terms

By accessing, registering on, or using the Zonefares.com platform in any way, you unconditionally accept and agree to be legally bound by these Terms and Conditions ('Terms'). These Terms constitute a legally binding agreement between you and Zonefares.com Inc. If you do not agree to every provision herein, you must immediately cease use of the platform. Zonefares.com reserves the right to deny access to any user who does not comply with these Terms.

2. Eligibility & Account Registration

2.1 Eligibility

Access to Zonefares.com is strictly limited to registered travel businesses, licensed travel agencies, IATA/ARC accredited agents, and verified corporate accounts. Individuals acting in a personal capacity are not permitted to use the platform. By registering, you warrant that you are duly authorized to act on behalf of your business entity.

2.2 Account Verification

Zonefares.com reserves the sole and absolute right to approve or reject any registration application. You must provide a valid IATA/ARC number, business registration certificate, and other documentation as required. Failure to provide accurate information will result in immediate account suspension and potential legal action for fraudulent misrepresentation.

2.3 Account Security

You are solely responsible for all activities conducted under your account. You must immediately notify Zonefares.com of any unauthorized access. Zonefares.com will not be held liable for any loss resulting from compromised credentials. Sharing of login credentials is strictly prohibited and constitutes grounds for permanent termination.

3. Booking, Ticketing & Cancellation Policy

3.1 Booking Confirmation

A booking is only confirmed upon receipt of full payment and issuance of a ticket or booking reference by Zonefares.com. Verbal confirmations, email exchanges, or system holds do not constitute confirmed bookings. Zonefares.com is not liable for losses arising from unconfirmed reservations.

3.2 No-Refund Policy

ALL SALES ARE STRICTLY FINAL. Once a ticket is issued, no refunds will be processed unless the airline or hotel explicitly authorizes a refund under its own fare rules. Service fees charged by Zonefares.com are non-refundable under any circumstances, including cancellations, schedule changes, or airline insolvency. Buyers assume full responsibility for selecting the correct passenger names, dates, and fare types prior to ticketing.

3.3 Cancellations & Modifications

Any cancellation or modification request must be submitted in writing via the platform. Zonefares.com will endeavour to process requests in accordance with the supplier's terms, but cannot guarantee outcomes. Any penalties, fees, or fare differences imposed by the airline are solely the responsibility of the buying agency. Zonefares.com's handling fee for cancellations is non-refundable.

3.4 Name Changes & Corrections

Passenger name corrections are subject to airline policy and may incur significant reissuance fees. Zonefares.com accepts no liability for incorrect name entries made by the booking agent. Double-check all passenger details before confirming any booking.

4. Payment Terms

4.1 Payment Obligations

Full payment is required at the time of booking unless a credit facility has been pre-approved in writing by Zonefares.com. Credit terms, if extended, are subject to separate written agreement and may be revoked at any time at Zonefares.com's discretion.

4.2 Late Payments & Default

Any payment not received by the due date will attract a late fee of 2% per month (24% per annum) on the outstanding balance. Zonefares.com reserves the right to immediately suspend all active bookings and API access upon default. Outstanding balances will be referred to collections and the buyer shall bear all recovery costs, including legal fees.

4.3 Chargebacks

Any chargeback initiated against Zonefares.com that is found to be fraudulent or unjustified will result in permanent account termination. The agency will be held liable for the full disputed amount plus a $500 CAD administrative fee per chargeback incident.

4.4 Currency & Taxes

All prices are quoted in USD unless otherwise stated. You are responsible for all applicable local taxes, duties, and levies. Zonefares.com is not responsible for currency fluctuations between quoting and payment.

5. Supplier Obligations

Suppliers must: (a) provide real-time, accurate inventory and pricing data; (b) honor all confirmed bookings at the agreed price; (c) maintain all required licenses, IATA certification, and insurance; (d) comply with all applicable aviation and hospitality regulations; (e) immediately notify Zonefares.com of any schedule changes, cancellations, or capacity reductions. Failure to honor confirmed bookings may result in the supplier being held liable for all resulting costs including rebooking, customer compensation, and reputational damages.

6. Buyer Obligations & Prohibited Conduct

6.1 Buyer Responsibilities

Buyers are solely responsible for: verifying all booking details prior to ticketing; ensuring passengers hold valid travel documents and visas; communicating airline terms and conditions to end customers; complying with all applicable consumer protection laws.

6.2 Prohibited Conduct

Buyers are strictly prohibited from: (a) reselling platform access or credentials to third parties; (b) scraping, data mining, or reverse-engineering any part of the platform; (c) using the platform for speculative or fraudulent bookings; (d) circumventing markup or pricing controls; (e) publishing Zonefares.com's net rates publicly. Violation of any prohibition will result in immediate permanent termination, forfeiture of all credits, and potential legal proceedings.

7. API Usage

7.1 License & Restrictions

Zonefares.com grants a limited, non-exclusive, non-transferable, revocable license to use the API solely for internal business operations. You may not sublicense, resell, or share API access. You must comply with all rate limits and technical specifications published by Zonefares.com.

7.2 Abuse & Throttling

Excessive, abusive, or unauthorized API usage will result in immediate throttling or permanent suspension without notice. Zonefares.com reserves the right to charge additional fees for API usage exceeding agreed limits. Any system damage caused by malicious use of the API will be billed to the responsible party.

7.3 Data Accuracy

API-sourced fares and availability are provided in good faith but are not guaranteed. Final pricing is only confirmed at the time of ticketing. Zonefares.com is not liable for discrepancies between searched and ticketed fares caused by dynamic pricing or caching delays.

8. Intellectual Property

All trademarks, logos, software, content, and platform technology are the exclusive property of Zonefares.com Inc. and its licensors. No rights are granted beyond the limited usage license described herein. Unauthorized reproduction, distribution, or modification of any Zonefares.com content is strictly prohibited and will be subject to legal action under applicable copyright law.

9. Confidentiality

All net fares, supplier contracts, pricing structures, and platform features disclosed to you are strictly confidential. You agree not to disclose any confidential information to third parties without prior written consent from Zonefares.com. Breach of confidentiality may result in injunctive relief and claims for damages including lost profits.

10. Limitation of Liability

10.1 Maximum Liability

Zonefares.com's total aggregate liability to any user, under any cause of action, shall not exceed the total fees paid by that user to Zonefares.com in the three (3) months preceding the claim. This cap applies regardless of the form of action, whether in contract, tort, or otherwise.

10.2 Exclusion of Indirect Damages

Zonefares.com shall under no circumstances be liable for: lost profits, loss of revenue, loss of data, loss of goodwill, business interruption, or any indirect, incidental, special, or consequential damages, even if advised of the possibility of such damages.

10.3 Force Majeure

Zonefares.com is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, pandemic, war, government action, airline bankruptcy, natural disasters, or internet infrastructure failures.

11. Indemnification

You agree to fully indemnify, defend, and hold harmless Zonefares.com Inc., its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of or inability to use the platform; (b) your breach of these Terms; (c) your violation of any law or third-party rights; (d) any dispute between you and your customers or suppliers.

12. Account Suspension & Termination

Zonefares.com reserves the right to suspend or permanently terminate any account at any time, with or without notice, for: breach of these Terms; fraudulent or abusive conduct; non-payment; failure to maintain required business credentials; conduct detrimental to Zonefares.com's reputation or operations. Upon termination, all outstanding balances become immediately due and payable. Zonefares.com will not be liable for any damages resulting from account termination.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed exclusively by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

13.2 Mandatory Arbitration

Any dispute, controversy, or claim arising out of or in connection with these Terms shall be submitted to binding arbitration under the Arbitration Act (Ontario). The decision of the arbitrator shall be final and binding. Class action lawsuits and jury trials are expressly waived.

13.3 Injunctive Relief

Notwithstanding the arbitration clause, Zonefares.com may seek injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm, including unauthorized use of confidential information or intellectual property.

14. Amendments

Zonefares.com reserves the right to amend these Terms at any time without prior notice. Updated Terms will be posted on the platform and take effect immediately upon posting. Your continued use of the platform after amendments constitutes unconditional acceptance. It is your responsibility to review these Terms regularly.

15. Severability & Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with any signed service agreement, constitute the entire agreement between you and Zonefares.com and supersede all prior negotiations, representations, or agreements.

By using Zonefares.com, you confirm you have read, understood, and unconditionally agreed to these Terms and Conditions in their entirety. These Terms are enforceable to the fullest extent permitted by law.
